Acceptance and Order of Precedence
These Terms of Use & Terms of Sale govern vulpinehomes.com and material-supply transactions with Vulpine Homes (“Vulpine,” “we,” “us,” or “our”), the business name published on this website. They apply to cabinets, casework, vanities, countertops, flooring, doors, windows, trim, panels, hardware, and related finish materials identified in an accepted order. Product availability and the scope of a transaction are determined by its accepted documents.
Where legally permitted, site use after notice of these Terms, a quotation request, submission of plans or a purchase order, approval, payment, or purchase signifies acceptance of the provisions applicable to that activity. A person acting for a company represents they have authority to do so. An inquiry alone does not create an accepted sale.
Conflicts are resolved in this order: (1) a separately signed agreement; (2) Vulpine’s order acknowledgment or accepted proposal; (3) an invoice or other accepted project-specific written terms; (4) these website Terms. Consistent documents are read together. A later invoice does not unilaterally amend an accepted agreement.
Additional or conflicting buyer terms, including purchase-order, portal, procurement, or subcontract boilerplate, require express written acceptance by an authorized Vulpine representative. Receiving a purchase order, referencing its number, delivering materials, or processing payment does not by itself accept conflicting terms. Manufacturer warranty terms govern the manufacturer’s separate warranty, subject to law.
Material Supplier and Separate Services
Vulpine principally acts as a material supplier for U.S. residential, commercial, and multifamily projects. Unless expressly included in a separate written contract, Vulpine is not your installer, general contractor, architect, engineer, construction manager, or field-verification consultant and does not assume responsibility for another trade.
Material recommendations, bid support, schedules, and delivery coordination do not make Vulpine responsible for permits, code-compliance verification, accessibility design, structural adequacy, field conditions, construction sequencing, installation workmanship, or project supervision. The owner, general contractor, design professionals, and installers retain their respective duties.
Any installation or other service separately agreed for a particular project is governed by its written scope and terms. That agreement does not add service or contracting duties to unrelated supply orders.
Quotes, Estimates, and Order Acceptance
Quotes rely on the information available when prepared. Preliminary allowances and budget proposals are not guaranteed final pricing. Quantities, availability, specification interpretation, and assumptions remain subject to verification and final approval.
Quote validity is the period stated in the quote. If unstated, confirm validity before relying on pricing; these Terms create no default expiry period. After expiration, revised pricing or availability may apply. Supplier or manufacturer price changes may require revised pricing before acceptance.
Freight, taxes, tariffs, duties, accessorial charges, storage, unloading, delivery surcharges, and other project costs may be separately stated. Review inclusions and exclusions. Post-acceptance adjustments require an agreed provision or accepted change order.
An order is accepted when Vulpine issues written acknowledgment or expressly accepts the final proposal and its approval and payment conditions are satisfied. Clerical, mathematical, typographical, or obvious pricing errors may be corrected with notice. Errors affecting an accepted order are addressed under the accepted agreement and law, rather than automatically binding you to an unauthorized new price.
Plans, Drawings, Takeoffs, and Revisions
Supply accurate, complete, current architectural plans, unit matrices, cabinet schedules, finish schedules, specifications, dimensions, appliance specifications, elevations, revisions, addenda, project requirements, and delivery requirements. Identify the controlling plan set and clearly communicate each change from prior submissions.
Vulpine may rely on information supplied by customers, owners, developers, contractors, architects, designers, and authorized project participants. Unless expressly included in writing, Vulpine need not discover omitted revisions, reconcile contradictory plan sets, or independently verify field dimensions, wall conditions, plumbing or electrical locations, appliance openings, or structural conditions.
Every takeoff, estimate, SKU schedule, drawing, or interpretation remains subject to customer review and approval before procurement or manufacture. Verify final quantities, dimensions, layouts, selections, compatibility, waste allowances, and spare materials. Notify Vulpine of discrepancies before release.
Measurements and Field Conditions
Unless field measurement is expressly contracted, you and your project professionals must verify actual dimensions, rough openings, ceiling heights, wall thickness and straightness, finished floor heights, appliance dimensions, and clearances. Plans and nominal product dimensions do not replace field verification.
Confirm fillers, end and decorative panels, scribes, trim, crown, toe kick, door and drawer operation, appliance ventilation, countertop overhangs, plumbing and electrical conflicts, and applicable ADA or other accessibility requirements. Account for uneven floors, out-of-square walls, and changes by other trades.
Materials ordered from approved measurements generally cannot be returned merely because measurements or field conditions were inaccurate. Corrective products, alterations, freight, and schedule effects caused by that information are the customer’s responsibility, subject to accepted terms and non-waivable rights.
Approvals and Production Release
Approval of drawings, shop drawings, layouts, elevations, quantities, colors, door styles, finishes, hardware, dimensions, specifications, or samples authorizes the approved procurement or manufacture. Approval should come from the authorized customer representative through the documented process accepted for the project.
Review unit counts, handed items, appliance cutouts, matching panels, and substitutions. Identify unresolved comments before release. Once released, changes may cause additional cost, restocking or cancellation fees, rework, freight, and schedule delays under the accepted terms.
Natural Variation and Finish Appearance
Wood grain, knots, mineral streaks, texture, color, stain absorption, veneer pattern, and natural aging differ between pieces. Paint sheen, laminate, thermofoil, engineered wood, quartz, natural stone, tile, and flooring may show normal production, batch, or dye-lot variation. Stone veining, seams, and pattern continuity depend on actual material and fabrication.
Samples and displays represent general appearance, not identical final coloration. Phones, monitors, photographs, renderings, and digital visualizers, where used, may not reproduce actual color, scale, texture, or lighting. Review physical samples and accepted specifications where appearance matters.
UV exposure, humidity, temperature, cleaning products, and environmental conditions affect appearance over time. Wood movement can expose seams or hairline finish changes at painted joints. Ordinary characteristics within accepted specifications and normal tolerances are not by themselves defects; this does not excuse nonconformance with an expressly agreed specification.
Construction, Tolerances, and Components
Dimensions and construction details follow the applicable manufacturer’s normal tolerances and accepted specifications. Verify whether dimensions are nominal or actual and whether they include doors, trim, hardware, and projections before establishing openings or adjoining work.
Manufacturers may make non-material changes to hinges, slides, fasteners, internal construction, packaging, or components using equivalent or improved items. This does not override an expressly agreed architectural specification, performance standard, approved finish, or material requirement. Material substitutions require project approval.
Lead Times and Scheduling
Lead times and production or delivery dates are estimates unless Vulpine expressly guarantees a date in a signed writing. Timing depends on complete information, approvals, required payments, supplier confirmation, and accepted project conditions.
Manufacturer capacity, material availability, production delays, holidays, transportation, carrier delays, customs, ports, weather, natural disasters, labor disruption, government action, supplier delays, customer changes, late approvals, and incomplete information may affect timing.
Coordinate demolition, trades, inspections, occupancy, and closings using confirmed information. Subject to applicable law and the liability provisions below, Vulpine does not assume downstream project-delay damages caused by events outside its reasonable control or third-party schedule guarantees it has not expressly accepted.
Shipping, Freight, and Delivery
Accepted shipping arrangements determine curbside, jobsite, pickup, or other delivery service. Inside delivery, stairs, unpacking, assembly, and installation are included only when expressly agreed. Delivery dates and appointment windows are estimates unless separately guaranteed in an accepted signed writing.
Provide accurate instructions, an authorized receiver, safe access, turning space, appointments, and a suitable unloading area. Unless Vulpine agrees otherwise, arrange appropriate unloading labor and equipment, including any forklift or liftgate required. Disclose restricted access, loading hours, gate restrictions, site rules, and vehicle limitations before booking.
Reasonable detention, redelivery, layover, appointment, special-equipment, accessorial, or storage charges caused by customer instructions or site conditions may be passed through under accepted terms. Receivers must follow safe handling procedures and may not direct unsafe work.
Inspection, Shortages, and Freight Damage
Inspect shipments promptly. Visible damage or missing packages can be identified at delivery; concealed damage may appear during unpacking. Where possible, count cartons and note visible damage, shortages, and compromised packaging on carrier documentation before signing. Photograph labels, packaging, the shipment, and affected items and retain receipts and tracking details.
Report concealed damage, incorrect products, and discrepancies promptly after discovery and within the applicable carrier, manufacturer, or accepted project claim period. These Terms impose no universal fixed claim deadline. Ask for the terms governing the shipment if unclear.
Preserve packaging and affected products for review. Missing evidence may affect eligibility, subject to law. Do not install, alter, discard, or repair disputed items before instructions unless needed to prevent further harm. Vulpine coordinates reasonable review; replacement, credit, and freight-claim outcomes are not promised before responsibility and eligibility are evaluated.
Storage and Failure to Accept Delivery
Site unreadiness, refusal, inability to unload, rescheduling, and missing access instructions may cause storage, detention, redelivery, and handling costs. Reasonable documented charges caused by those conditions may be passed through as accepted arrangements and law permit.
Promptly agree on a revised delivery or storage plan when ready materials cannot be accepted. Storage depends on available capacity and agreed charges. Responsibility and risk follow the applicable storage or project agreement and law; a delay alone does not automatically transfer every risk to the customer.
Title and Risk of Loss
Title and risk follow the accepted proposal, acknowledgment, invoice terms, or shipping terms for the order, applying the stated order of precedence. Shipping structures may differ by project; these Terms create no universal FOB rule or automatic customer risk at every carrier handoff.
Where documents are silent, applicable law governs. Title and risk may transfer at different times. Reservations of title, security interests, insurance duties, and special storage allocations must arise from valid accepted documents or law; this page does not grant a new consensual security interest.
Taxes and Exemption Documentation
The customer is responsible for applicable sales, use, transaction privilege, excise, and similar charges, except taxes on Vulpine’s net income or charges the law allocates otherwise. Taxes may be separately invoiced.
Provide valid resale or exemption documentation for acceptance before it is relied upon. To the extent lawful, the customer bears assessments and related costs caused by inaccurate, invalid, expired, or misused documentation supplied by the customer. An exemption in one jurisdiction does not automatically establish another.
Payments, Deposits, and Disputes
Pay deposits, progress payments, and balances according to the accepted invoice or project terms, which determine amounts, due dates, and credit arrangements. These Terms establish no default interest rate, late fee, deposit percentage, or credit period.
Returned, reversed, or unsuccessful payments do not discharge the underlying obligation. Notify Vulpine promptly of a good-faith dispute with supporting details and pay undisputed amounts when due. Lawful payment-dispute and consumer rights are preserved.
Subject to accepted terms and law, Vulpine may suspend unreleased procurement or delivery for unpaid amounts and seek reasonable collection costs recoverable by law or agreement. Interest, late charges, attorney fees, liens, and security remedies apply only where separately established by valid terms or law; no new rate or contractual lien is created here.
Cancellations, Returns, and Custom Goods
Stock goods differ from special-order goods, made-to-order cabinets, custom or fabricated countertops, and modified products. Custom or special-order materials may be non-cancellable and non-returnable after procurement or production release. Changed preferences, inaccurate approved dimensions, and delays do not automatically create a return right.
Obtain written authorization before any return. If accepted, returns may require manufacturer authorization, inspection, original packaging, and new, resalable condition and may incur disclosed freight and restocking charges. Opened, installed, cut, finished, altered, or damaged items may be ineligible, subject to nonconformity remedies and non-waivable rights.
Committed materials, fabrication, freight, and other reasonable unrecoverable cancellation costs follow accepted terms and law. Account for any remaining refundable balance; deposits are not automatically forfeited in every circumstance. Restrictions do not eliminate remedies for an actionable defect or nonconforming shipment.
Change Orders
Request changes promptly, identifying the order, affected items, revision, and desired result. Changes after approval can affect pricing, lead time, freight, quantities, production, and coordination with installation or other trades.
Confirm changes in writing with authorized parties where practical, including scope, price, and timing. The original approved order controls until a change is accepted. Requests to a carrier, manufacturer, or installer do not by themselves amend Vulpine’s obligations.
Manufacturer Warranties and Legal Rights
Products may carry independent manufacturer warranties. Where available and lawful, Vulpine passes through applicable coverage and reasonably assists with obtaining terms and submitting documented claims. Eligibility, procedures, repair, replacement, and labor allowances depend on the actual warranty. These Terms create no additional Vulpine warranty beyond an express written commitment or obligations imposed by law.
Manufacturer coverage may exclude improper storage or installation, misuse, abuse, water intrusion, excessive humidity or dryness, structural movement, jobsite damage, unauthorized modification, improper cleaning chemicals, ordinary wear, and failure to follow instructions. Consult the actual warranty; not every exclusion applies to every product.
FOR COMMERCIAL TRANSACTIONS ONLY, AND ONLY TO THE EXTENT LAWFUL AND CONSISTENT WITH ACCEPTED EXPRESS SPECIFICATIONS AND WARRANTIES, VULPINE DISCLAIMS ADDITIONAL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS DOES NOT APPLY WHERE PROHIBITED, NEGATE AN EXPRESS WARRANTY, OR ELIMINATE NON-WAIVABLE CONSUMER RIGHTS.
Repair, replacement, credit, refund, and related costs follow the accepted warranty, agreement, and law. A limited remedy does not displace a required remedy when it fails of its essential purpose. Replacement materials may show normal aging or batch differences but must meet applicable agreed requirements.
Installation and Work by Others
Unless covered by a separate agreement, the customer arranges qualified installation, permits, inspections, and compliance review. Vulpine is not responsible for installation defects, unauthorized field changes, unsafe methods, or workmanship of contractors it has not contracted to supervise.
Follow manufacturer handling, acclimation, support, fastening, cleaning, and installation instructions. Inspect before installation and report apparent defects or incompatibility. Contrary installation may affect warranty coverage; installation does not waive latent defects or rights preserved by law.
Jobsite Readiness and Protection
The customer and general contractor are responsible for secure storage, climate conditions, moisture and theft protection, protection from other trades, appropriate access, and site readiness unless separately agreed. Protect materials from dust, impact, chemicals, and uncontrolled humidity or temperature.
Do not store materials in wet or uncontrolled environments contrary to manufacturer instructions. Arrange safe support and handling and correct water intrusion before delivery or installation. Customer-controlled site costs follow accepted terms and law.
Website Content and Product Information
Catalogs, dimensions, specifications, photographs, descriptions, renderings, and any visualizers are informational and may change. Images may show optional accessories or finishes. Approved project documents control over general marketing material for an accepted order.
Confirm final availability and specifications in accepted documents. General illustrations do not replace professional application review. To the extent lawful, website access is provided as available without guaranteed uninterrupted or error-free operation.
Intellectual Property
Vulpine trademarks, logos, original site content, custom photography, Vulpine-owned catalogs, and software or tools are protected by intellectual-property law. Use authorized materials to evaluate or administer a project; do not republish, commercially exploit, or misrepresent ownership without permission or another lawful basis.
Manufacturer content belongs to its owner. Customer architectural plans and project documents remain with the customer or their owner. Submission transfers no ownership. You represent that you have permission to supply documents for quotation and project use.
Submissions and Project Documents
Providing information or documents authorizes use only as reasonably necessary for quotation, takeoff, procurement, fulfillment, administration, support, and legal or compliance purposes. Relevant portions may be shared with suppliers or authorized project participants for those purposes, subject to the Privacy Policy.
Identify confidentiality or use restrictions before submission so appropriate arrangements can be agreed. Provide only authorized information and remove unrelated personal data. Current public forms accept text and have no file-upload feature; agree an appropriate communication channel before sending project files.
Prohibited Use
Do not scrape in violation of law or access restrictions, abuse credentials, attack systems, attempt unauthorized access, introduce malicious code or files, impersonate others, submit fraudulent requests, or interfere with availability or security.
Do not reverse engineer where prohibited by law or bypass technical protections. Nothing prohibits activity that cannot lawfully be restricted. Abusive access may be limited, and relevant records preserved for security and legal purposes under the Privacy Policy.
Independent Manufacturers and Third Parties
Independent manufacturers supply some products, specifications, and warranties. Manufacturer insolvency, discontinuation, policy changes, and warranty determinations do not automatically create a separate Vulpine guarantee. Vulpine remains responsible for its own accepted commitments and duties imposed by law.
If products become unavailable, alternatives, approvals, credits, and remedies follow accepted terms and law. A referral or external link does not alone make a third party Vulpine’s agent or expand the contracted scope.
Limitation of Liability
TO THE EXTENT LAWFUL, UNLESS EXPRESSLY ASSUMED IN A SIGNED AGREEMENT, VULPINE IS NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL LOSSES, LOST PROFIT, LOST RENT, LOSS OF USE, PROJECT-DELAY DAMAGES, THIRD-PARTY LIQUIDATED DAMAGES, OR BUSINESS INTERRUPTION ARISING FROM A SUPPLY ORDER OR SITE USE.
FOR COMMERCIAL SUPPLY CLAIMS, TO THE EXTENT ENFORCEABLE, AGGREGATE LIABILITY IS LIMITED TO THE PRICE PAID OR PAYABLE FOR THE AFFECTED GOODS OR PORTION OF THE ORDER. THIS CAP DOES NOT COVER VULPINE’S FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, PERSONAL-INJURY LIABILITY THAT CANNOT BE LIMITED, OR OTHER NON-WAIVABLE LIABILITY OR CONSUMER REMEDIES.
These allocations are subject to controlling agreements and law. They do not excuse delivery of conforming goods, override an expressly accepted remedy, or prevent a required remedy when a limited remedy fails of its essential purpose.
Commercial Indemnification
For commercial transactions, to the extent lawful, the customer indemnifies Vulpine against third-party claims and reasonable resulting losses to the extent caused by inaccurate customer measurements or specifications, unlawful submitted content, misuse, wrongful acts of customer-controlled installers or contractors, or material breach of these Terms.
This does not cover losses caused by Vulpine’s negligence, breach, or willful misconduct and does not waive protected consumer rights. Give prompt claim notice, reasonable cooperation, and an opportunity to participate in defense. A settlement imposing admissions, non-monetary duties, or uncovered liability on the other party requires its consent.
Events Beyond Reasonable Control
Delayed performance is excused to the extent caused by events beyond reasonable control, including disaster, weather, fire, war, civil disruption, epidemic, government action, customs or ports, labor disruption, transportation failures, or unavoidable material or supplier disruptions. This does not excuse payment already due for delivered goods.
The affected party should give prompt notice, mitigate effects reasonably, and resume performance. Prolonged interruption, cancellation, refunds, and committed costs follow accepted terms and law; this is not permission to retain unearned funds automatically.
Governing Law and Venue
Arizona law governs unless a controlling accepted agreement or mandatory law requires otherwise. This does not deprive consumers of non-waivable protections.
Jurisdiction and venue follow a valid controlling agreement and applicable law. These website Terms designate no specific county, exclusive court, or forum. Any additional venue arrangement must be expressly accepted.
Dispute Resolution
Notify Vulpine through the existing form or established project channel of disputes, providing customer and project names, invoice or order references, affected items, and requested resolution. Good-faith informal resolution is encouraged without delaying claim or legal deadlines.
These Terms impose no mandatory arbitration, class-action waiver, or pre-suit waiting period. Unless separately and lawfully agreed, parties retain dispute-resolution options available under law.
Electronic Communications and Records
Where lawful and agreed, notices, estimates, approvals, signatures, invoices, and records may be electronic. Keep contact details current and preserve accepted records. An authorized electronic approval may be relied on for its approved scope.
This does not dispense with signature or delivery requirements in a controlling agreement or law. Request a different method for future transactions where law allows. Providing an email for a quote does not alone authorize unrelated marketing texts.
SMS and Inquiry Communications
Forms offer a separate optional, unselected checkbox for calls and texts about your inquiry. Submit an inquiry or privacy request without checking it; consent is not a condition of purchase. The offered disclosure reads:

Vulpine respects opt-outs and does not sell or transfer phone numbers or consent for third parties’ own marketing merely because you opted in. Service providers may process information to support Vulpine’s authorized communications.
Updates and Contact
Website updates apply prospectively with a revised Last Updated date for material changes and appropriate notice where required. Accepted orders retain their governing terms unless the parties agree otherwise; editing this page does not retroactively change them.
Use the existing contact form or established project contact for questions and identify the relevant order. No mailing address or dedicated legal email is published on this website.
Severability, Waiver, and Entire Agreement
An unenforceable provision applies only to the extent lawful; the remaining provisions continue unless law requires otherwise. Delay or failure to enforce is not a waiver. Waivers must be clear and limited to the matter waived.
These Terms and controlling accepted project documents form the agreement on their subject matter, subject to law and the order of precedence. Authorized representatives must agree to changes in accepted transactions. Headings and numbering assist navigation without changing meaning.
